CNCCC International Tendering Co., Ltd. (hereinafter referred to as “the Tendering Agent”), entrusted byCNOOC and Shell Petrochemicals Company Limited(hereinafter referred to as “Tenderee” ), intends to purchase the Goods and the relevant services required under CSPC Huizhou Phase 3 Ethylene Projectby International Competitive Bidding. Bidders are kindly requested to provide the following Goods and services with sealed bids.

Project Summary：CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Phase 3Ethylene Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

A．如果投標人為境內(nèi)注冊公司，投標人需提供合法有效的企業(yè)法人營業(yè)執(zhí)照、稅務(wù)登記證及組織機構(gòu)代碼證或證照合一的營業(yè)執(zhí)照，投標時需提供原件掃描件（原件備查）；

如果投標人為境外注冊公司，需提供有效的公司登記注冊證明；

A．The bidder within the customs territory shall provide valid independent legal person business license, tax registration certificate, organization code certificate, or combinedcertificate and business license.?The scanned copy of the original shall be provided during bidding (the original copy for reference);

The bidder outside the customs territory shall provide valid certificate to prove valid business registration certificate.

B.投標人應(yīng)為本次投標所投產(chǎn)品的制造商或者授權(quán)代理商。如果投標人是代理商，則須提供制造商有效授權(quán)書；如投標人為制造商同一集團負責銷售投標所投產(chǎn)品的全資子公司、控股子公司（投標人應(yīng)提供制造商或其上級公司證明上述事項的證明文件），則視投標人為制造商。不能再將此貨物同時授權(quán)給其他投標人參與投標，否則相關(guān)的所有投標將被拒絕。

The bidder shall be the manufacturer or agent of the biddingproducts.If the bidder is an agent, a valid Letter of Authority from Manufacturershall be provided.If the bidder is a wholly-owned subsidiary or holdingsubsidiary of the same group as the manufacturer responsible for sales ofthe bidding products, the bidder shall provide relevant evidence documents fromthe manufacturer or its superior company to prove the above matters, and in such case the bidder shall be deemed as the manufacturer. The biddinggoods cannot be authorized to other bidders to participate in this bidding at the same time, otherwise all relatedbids will be rejected.

如果投標人是代理商,應(yīng)具有****年1月1日至****年**月**日偏心旋轉(zhuǎn)閥的銷售業(yè)績，并提供相關(guān)業(yè)績證明文件。業(yè)績證明文件包括但不限于銷售合同復(fù)印件，至少體現(xiàn)以下內(nèi)容：合同簽署時間、合同簽署頁（國內(nèi)貿(mào)易合同應(yīng)有雙方蓋章，國際貿(mào)易合同應(yīng)有雙方簽字或蓋章）、貨物名稱。未提交業(yè)績證明文件，或通過所提供的業(yè)績證明文件無法認定滿足上述業(yè)績要求的，均視為無效業(yè)績。

If the bidder is an agent, the biddershallhave sales performance of Pneumatic Eccentric Rotary Control valvefrom January 1st, **** to December **st, ****, and provide corresponding documentary evidence. The salesperformance documentary evidenceincludesbut not limited to a copy of the sales contract, which should at least reflect the following contents: the date of contract signing, the contract signing page (domestic trade contracts should have signatures?and?seals from both parties, international trade contracts should have signatures or seals from both parties), and the name of the goods.?If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

投標文件中提供制造商授權(quán)書的中標候選人，應(yīng)在中標候選人公示后3個工作日內(nèi)將制造商授權(quán)書原件（簽字或人名章或公章均須為原件，不接受掃描打印文件）送達招標人聯(lián)系人進行核驗，對于國外制造商授權(quán)書原件，投標人提前準備以滿足核驗原件期限要求。投標文件中提供的制造商授權(quán)書可在制造商官方網(wǎng)站上查詢并核驗一致的或紙質(zhì)投標已遞交制造商授權(quán)書原件的，可免于送交原件核驗。核驗結(jié)果不一致的，將按照提供虛假投標資料處理；未能在規(guī)定期限內(nèi)提供原件的，將視為不如實提供材料處理。上述兩類情況將取消中標候選人資格及中標資格，并按照中國海油相關(guān)制度規(guī)定給予禁用等處理。

The winning candidates who provide the Manufacturer's authorization letter in the bidding documents shall deliver the original of the Manufacturer's authorization letter (the signature, personal seal or official seal must all be the original. Scanned or printed documents shall be rejected) to the contact person of the tenderer for verification within 3 working days after the public announcement of the winning candidates. For the original authorization letter from the foreign manufacturer, the bidder should prepare it in advance to meet the deadline requirement for verification of original. The manufacturer's authorization letter provided in the tender documents can be searched and verified on the manufacturer's official website. If the original manufacturer's authorization letter has been submitted in the paper tender, it is not necessary to submit the original for verification. If the verification results are inconsistent, it shall be deemed as providing false bidding materials. Failure to provide the original documents within the prescribed deadline shall be deemed as false provision of materials. The above two types of situations will result in the disqualification of the winning candidate andthe winning bid qualification, and will be dealt with in accordance with the relevant regulations of CNOOC, such as being banned.

（2）資質(zhì)要求

投標產(chǎn)品制造商應(yīng)具有《中華人民共和國特種設(shè)備制造許可證》（壓力管道元件制造）和相應(yīng)的《特種設(shè)備型式試驗證書》（壓力管道元件）。特種設(shè)備型式試驗證書在類別、公稱壓力、公稱尺寸和溫度范圍能夠覆蓋招標物資。證書中制造單位名稱、地址和投標產(chǎn)品的制造單位名稱、地址應(yīng)一致。投標時需提供證書原件掃描件（原件備查）。

The manufacturer of the bidding products shall obtaina valid "Manufacture License of Special Equipment People's Republic of China" (Pressure PipingComponentsManufacture) and a “Special Equipment Type Test Certificate (Pressure PipingComponent)covering the category, pressure, size and temperature of the bidding products. The name and address of the manufacturer specified in the certificates provided shall be consistent with the name and address of the manufacturer of the bidding products. Ascanned copy of the original certificate must be provided (original for future reference) .

（3）業(yè)績要求Requirement for Bidder's reference:

****年1月1日至投標截止日（以合同簽署時間為準），投標人所投產(chǎn)品的制造商在中國境內(nèi)應(yīng)具有至少2個合同氣動偏心旋轉(zhuǎn)閥的供貨業(yè)績（供貨業(yè)績的制造商必須是本次投標產(chǎn)品的制造商），供貨業(yè)績合同需分別滿足：1）至少1個供貨業(yè)績合同中包含不少于4臺且口徑不小于**"的應(yīng)用于聚乙烯裝置調(diào)溫水控制的氣動偏心旋轉(zhuǎn)閥；2）至少1個供貨業(yè)績合同中包含口徑不小于**"且壓力等級不低于CL**0的氣動偏心旋轉(zhuǎn)閥。

From January 1 ^st , ****to the deadline for submission of the bid (subject to the signing time of the contract), the manufacturer of the products suppliedby the bidder shall haveat least twosupply contractsperformanceof Pneumatic Eccentric Rotary Control valvewithin P.R.China (the manufacturer of the supply performance must be the manufacturer of the bidding product), and the supply contract of performance shall meet the requirement respectively as follows: 1) at least one supply contract of performancecontains no less than 4 sets of Pneumatic Eccentric Rotary Control valvewith size not smaller than **" for water temperature control in PE Plant; 2) at least one supply contract of the performance contains at least one set of Pneumatic Eccentric Rotary Control valvewith size not smaller than **" and pressure rating no lower than CL**0.

投標人須按規(guī)定格式提交業(yè)績表，并提交相關(guān)業(yè)績證明文件。業(yè)績證明文件包括：1）銷售合同和2）用戶簽字或蓋章的到貨驗收材料（到貨驗收單或調(diào)試驗收報告或其他可以證明合同項下貨物已經(jīng)到貨驗收的有效證明材料）。投標人所提交的業(yè)績證明文件必須至少體現(xiàn)以下內(nèi)容：合同簽署時間、合同簽署頁（國內(nèi)貿(mào)易合同應(yīng)有雙方蓋章，國際貿(mào)易合同應(yīng)有雙方簽字或蓋章）、制造商名稱、裝置名稱、貨物名稱、貨物數(shù)量、閥門尺寸、閥門用途、閥門壓力等級及用戶簽字或蓋章的到貨驗收材料。

若業(yè)績合同為年度協(xié)議/框架協(xié)議，除提供年度協(xié)議/框架協(xié)議外，還應(yīng)提供相應(yīng)的已到貨訂單，訂單內(nèi)容或編號應(yīng)與年度協(xié)議/框架協(xié)議相關(guān)聯(lián)。同一個年度協(xié)議/框架協(xié)議下提供1個或以上的訂單及與訂單對應(yīng)的到貨驗收材料均算為1個有效業(yè)績。

The Bidder shall furnish reference list in given form, and provide corresponding documentary evidence. The documentary evidence shall include 1) copies of sales contract and 2) acceptance evidence of goods deliverysigned or sealed by the user(Arrival acceptance certificate or commissioning acceptance report or other effective materials that can prove the arrival acceptance of goods under the contract). Thereference evidence documents furnished byBidder shall as least demonstrate the content as follows: Date of signing contract, contract signing page(domestic trade contracts should have signatures or seals from both parties, international trade contracts should have signatures or seals from both parties), name of manufacturer, name of the plant, name of goods,valve size, valve type, inlet flange pressure rating of valveandacceptance evidence of goods delivery signed or sealed by the user.

If the performance contract is an annual agreement/framework agreement, in addition to providing the annual agreement/framework agreement, corresponding received orders should also be provided, and the order content or number should be associated with the annual agreement/framework agreement. Providing one or more orders and corresponding acceptance evidenceunder the same annual agreement/framework agreementis considered as one valid performance.

未提交業(yè)績證明文件，或通過所提供的業(yè)績證明文件無法認定滿足上述業(yè)績要求的，均視為無效業(yè)績。

If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

Before bidding, the bidder should complete registration and information verification at https://www.ebnew.com or https://www.chinabidding.com .The bid evaluation results will be published on the website(http://www.chinabidding.com) and China National Offshore Oil Corporation Procurement Platform (https://buy.cnooc.com.cn) .

**. 提示Notes

投標人進入開標大廳后，需要進行簽到操作，等待開標主持人指令。允許解密后，投標人點擊解密按鈕進行解密投標文件（需解密前在電腦上插入當前賬號綁定的CA），輸入正確的CA密碼。（請注意：如投標人未在投標截止時間/開標時間前進行簽到，原則上將無法進行解密，將被視為撤回其投標文件。）

The bidder need to sign in and wait for instruction issued by the host after entering the the virtual bid opening hall online. After the decryption is allowed,the bidder click the decryption button to decrypt the bid document(insert the CA bound to the current account on the computer before decryption) and enter the correct CA password.(PS:The bidder will not be able to decrypt in principle and be considered to withdraw the bid documents if fails to sign in before the deadline for the submission of bids or the date of bid opening.)

投標文件解密時限為**分鐘。投標人未在上述解密時限內(nèi)完成解密視為解密失敗，根據(jù)？電子招標投標辦法？的規(guī)定，視為投標人撤回投標文件。

The decryption time limit of the bid documents is ** minutes.It's deemed to fail to decrypt when the bidder fails to decrypt within the given time. Under the circumstances, it's deemed that the bidder withdraw the bid documents according to the regulation of Electronic Tendering and Bidding Methods.

投標人對開標有異議的，應(yīng)當在開標現(xiàn)場提出，招標人當場做出答復(fù)，并制作記錄。未在線上開標現(xiàn)場提出的開標異議，不予受理。

Any objection to the bid opening raised by the bidder shall be raised at the bid opening site and the tenderee shall answer on the spot and make a record. It’s not accepted that the bidder has not raised objections at the bid opening site online.
