(hereinafter referred to as “the Tendering Agent”), entrusted byCNOOC China Ltd.Shenzhen(hereinafter referred to as “Tenderee”), intends to purchase the Goods and the relevant services required under KP**-4OIL FIELD BLOCK **-1DEVELOPMENT PROJECTby International Competitive Bidding. Bidders are kindly requested to provide the following Goods and services with sealed bids.

項目概況：開平**-4油田位于南海東部偏西海域，距香港西南約**5km，開平**-4油田包含**-4區(qū)塊（水深**0-**0米）、**-1區(qū)塊（水深**0-**0米）。 開平**-4油田**-1區(qū)塊開發(fā)項目采用“水下生產(chǎn)系統(tǒng)回接圓筒型FPSO”模式進(jìn)行開發(fā)。分為1d（1d/1dSa）、2d(2d、5)兩套水下生產(chǎn)系統(tǒng)分別回接至新建的圓筒型FPSO。開平**-4油田**-1區(qū)塊計劃****年投產(chǎn)。本采辦包采購的原油外輸計量標(biāo)定撬將用于新建圓筒型浮式生產(chǎn)儲卸油裝置FPSO上。
Project Summary：The Kaiping **-4 Oilfield is located in the west-eastern part of the South China Sea, approximately **5 kilometers southwest of Hong Kong. The Kaiping **-4 Oilfield consists of Block **-4 (with a water depth of **0-**0 meters) and Block **-1 (with a water depth of **0-**0 meters). The development project of Block **-1 of Kaiping **-4 Oilfield adopts the mode of "subseaproduction system reconnection to cylindrical FPSO" for development. It is divided into two sets of subseaproduction systems, 1d (1d/1dSa) and 2d(2d, 5), which are respectively connected back to the newly-built cylindrical FPSO. The **-1 block of Kaiping **-4 Oilfield is planned to be put into production in ****. Crude Oil Metering and Proving Systemprocured in this procurement package will be used on the new cylindrical floating production storage and offloading unit FPSO.

3. 對投標(biāo)人的資格和業(yè)績要求：

（1）資格要求
Requirements for Qualification of Bidder
★A.如果投標(biāo)人為中國境內(nèi)注冊公司，投標(biāo)人需具有合法有效的企業(yè)法人營業(yè)執(zhí)照、稅務(wù)登記證及組織機(jī)構(gòu)代碼證或證照合一的營業(yè)執(zhí)照，投標(biāo)時需提供原件掃描件（原件備查）；
If the Bidder is a company registered within the territory of China, it shall possess a legally valid Business License of an enterprise legal person, Tax Registration Certificate, and Organizational Code Certificate, or a unified business license combining these certificates. When submitting the bid, the Bidder shall provide a scanned copy of the original document (with the originals kept available for verification).
如果投標(biāo)人為中國境外注冊公司，需提供有效的公司登記注冊證明；
If the Bidder is a company registered outside the territory of China, it shall provide a valid certificate of company registration.
投標(biāo)人為分公司的，需具有合法有效的營業(yè)執(zhí)照（境內(nèi)注冊）/公司登記注冊證明（境外注冊）和上級法人單位授權(quán)書（授權(quán)該分公司投標(biāo)和簽訂合同），投標(biāo)時需提供原件掃描件（原件備查）。
If the Bidder is a branch company, it shall possess a legally valid business license (for those registered within China) / certificate of company registration (for those registered outside China) and an authorization letter from the superior legal entity (authorizing the branch to bid and sign contracts). When submitting the bid, the branch shall provide scanned copies of the original documents (with the originals kept available for verification).
招標(biāo)人認(rèn)可該分公司和上級法人單位的資質(zhì)、資格和業(yè)績，不認(rèn)可同一上級法人單位的其它分公司的資質(zhì)、資格和業(yè)績。分公司與上級法人單位只可一家參與投標(biāo)，同時參與投標(biāo)的，投標(biāo)均無效。
The qualifications, eligibility and performance of the branch and its superior legal entity shall be recognized by the Procuring Entity(Company/Purchaser), while the qualifications, eligibility and performance of other branches under the same superior legal entity shall not be recognized. Only one of the branch and its superior legal entity may participate in the bid; if both participate in the bid, all their bids shall be regarded as invalid bids.
★B.制造商要求:
投標(biāo)人應(yīng)是原油外輸計量標(biāo)定橇的專業(yè)制造商或代理商。如果投標(biāo)人是代理商，那么投標(biāo)人應(yīng)得到制造商同意其在中國為本次投標(biāo)提供該原油外輸計量標(biāo)定橇整橇的合法正式授權(quán)并出具制造商唯一合格授權(quán)。投標(biāo)人將投標(biāo)的貨物再授權(quán)給其他投標(biāo)人同時參與投標(biāo)的，相關(guān)的所有投標(biāo)將被拒絕。
Manufacturer requirement:
The SUPPLIER shall be a professional manufacturer or agent of the Crude Oil Metering and Proving System. If the SUPPLIER is an agent, the SUPPLIER shall obtain the manufacturer's legal and formal authorization to provide the crude oil metering and proving system whole skid for this bid in China and issue the manufacturer's only qualified authorization. If the bidder authorizes other bidders to participate in the bidding process for the goods being tendered, all related bids will be rejected.
★C.投標(biāo)文件中提供制造商授權(quán)書的中標(biāo)候選人，應(yīng)在中標(biāo)候選人公示后3個工作日內(nèi)將制造商授權(quán)書原件（簽字或人名章或公章均須為原件，不接受掃描打印文件）送達(dá)招標(biāo)人聯(lián)系人進(jìn)行核驗，對于國外制造商授權(quán)書原件，投標(biāo)人提前準(zhǔn)備以滿足核驗原件期限要求。投標(biāo)文件中提供的制造商授權(quán)書可在制造商官方網(wǎng)站上查詢并核驗一致的或紙質(zhì)投標(biāo)已遞交制造商授權(quán)書原件的，可免于送交原件核驗。核驗結(jié)果不一致的，將按照提供虛假投標(biāo)資料處理；未能在規(guī)定期限內(nèi)提供原件的，將視為不如實(shí)提供材料處理。上述兩類情況將取消中標(biāo)候選人資格及中標(biāo)資格，并按照中國海油相關(guān)制度規(guī)定給予禁用等處理。
The winning candidates who provide the manufacturer's authorization letter in the tender documents shall deliver the original manufacturer's authorization letter (the signature, personal seal or official seal must all be the original. Scanned and printed documents will not be accepted) to the contact person of the tenderer for verification within 3 working days after the public announcement of the winning candidates. For the original authorization letter from the foreign manufacturer, the bidder should prepare it in advance to meet the time limit requirement for verifying the original. The manufacturer's authorization letter provided in the tender documents can be verified and verified on the manufacturer's official website. If the original manufacturer's authorization letter has been submitted in the paper tender, it is not necessary to submit the original for verification. If the verification results are inconsistent, it will be dealt with as providing false bidding materials. Failure to provide the original documents within the prescribed time limit will be treated as false provision of materials. The above two types of situations will result in the disqualification of the winning candidate and the winning bid qualification, and will be dealt with in accordance with the relevant regulations of CNOOC, such as being banned.

（2）★業(yè)績要求Requirement for Bidder's reference:
投標(biāo)人提供的原油外輸計量標(biāo)定系統(tǒng)應(yīng)為成熟產(chǎn)品，不接受試制品。投標(biāo)人須滿足以下業(yè)績要求：****年1月1日至投標(biāo)截止日（以合同簽署時間為準(zhǔn)），投標(biāo)人所投原油外輸計量標(biāo)定系統(tǒng)的制造商應(yīng)具有至少1套原油外輸計量標(biāo)定系統(tǒng)（計量橇整橇最大流量≥****方每小時，雙向球形體積管尺寸≥**英寸，計量模塊和標(biāo)定模塊上下布置集成在一個橇內(nèi)，流量計精度等級應(yīng)為0.2%或更好，體積管的重復(fù)性應(yīng)為0.**%或更好）的供貨業(yè)績（供貨業(yè)績的制造商必須是本次投標(biāo)產(chǎn)品的制造商）。
投標(biāo)人須按規(guī)定格式提交業(yè)績表，并提交相關(guān)業(yè)績證明文件。業(yè)績證明文件包括：1）銷售合同和2）用戶簽字或蓋章的到貨驗收材料（到貨驗收單或調(diào)試驗收報告或其他可以證明合同項下貨物已經(jīng)到貨驗收的有效證明材料）。投標(biāo)人所提交的業(yè)績證明文件必須至少體現(xiàn)以下內(nèi)容：合同簽署時間、合同簽署頁（國內(nèi)貿(mào)易合同應(yīng)有雙方蓋章，國際貿(mào)易合同應(yīng)有雙方簽字或蓋章）、制造商名稱、貨物名稱、計量橇整橇最大流量、雙向球形體積管尺寸、上下成橇、流量計精度等級、體積管重復(fù)性、用戶簽字或蓋章的到貨驗收材料。
未提交業(yè)績證明文件，或通過所提供的業(yè)績證明文件無法認(rèn)定滿足上述業(yè)績要求的，均視為無效業(yè)績。
The crude oil metering and proving system provided by the SUPPLIER should be a mature application product, unused prototype equipment shall not be acceptable. SUPPLIER shall meet the following reference requirements: From January 1, **** to the bid deadline (based on the contract signing date), the manufacturer of the crude oil metering and proving system submitted by SUPPLIER shall have at least 1application references of crude oil metering and proving systems,The system technical parameters provided for the performance meet the following technical requirements:total metering skid maximum flow rate ≥ **** m3/h, the size of Bidirectional U-Type Sphere Prover ≥ ** inches,metering module and proving module integrated in one skid by stacking, accuracy class of flowmeter shall be 0.2% or better, repeatability of prover shall be 0.**% or better.The manufacturer of the supply references should be the manufacturer of the bidding product.
SUPPLIER should submit a reference table in the prescribed format and provide relevant reference certification documents. The reference certification documents include: 1) sales contract and 2) inspection documents after delivery signed or stamped by the user (arrival inspection reports or commissioning reports or other valid documents that can prove that the equipment under the contract has been received and accepted). The reference certification documents submitted by the SUPPLIER should include but not limit to: contract signing date, contract signing page (domestic trade contracts should have signatures and seals from both parties, international trade contracts should have signatures or seals from both parties), manufacturer name, name of goods, total metering skid maximum flow rate, the size of Bidirectional U-Type Sphere Prover, stacking integration, accuracy class of flowmeter, repeatability of prover and arrival inspection documents signed or stamped by the user.
Failure to submit reference certification documents, or failure to meet the above reference requirements, shall be deemed as invalid reference.

投標(biāo)人須具備有效的GB/T****1（或ISO****）質(zhì)量體系認(rèn)證證書，由中國國內(nèi)機(jī)構(gòu)發(fā)證的可在中國國家認(rèn)證認(rèn)可監(jiān)督管理委員會網(wǎng)站(http://www.cnca.gov.cn/)核實(shí)。投標(biāo)時需提供相關(guān)證書的掃描件。
The bidder must have valid GB/T****1 (or ISO****) certificate. The certificates which issued by China’s domestic institutions should can be verified on the website of China National Certification and Accreditation Administration (http://www.cnca.gov.cn/). Bidders must provide scanned copies of the certificates.

The bidder need to sign in and wait for instruction issued by the host after entering the the virtual bid opening hall online.
