中化建國際招標有限責任公司（以下稱為“招標代理機構”）受中海殼牌石油化工有限公司（以下稱為“招標人”）委托，就中海殼牌惠州三期乙烯項目所需部分貨物及相關服務進行國際公開招標?，F(xiàn)邀請投標人對下列貨物和服務提交密封投標：
CNCCC International Tendering Co., Ltd. (hereinafter referred to as “the Tendering Agent”), entrusted byCNOOC and Shell Petrochemicals Company Limited(hereinafter referred to as “Tenderee” ), intends to purchase the Goods and the relevant services required under CSPC Huizhou Phase 3 Ethylene Projectby International Competitive Bidding. Bidders are kindly requested to provide the following Goods and services with sealed bids.

Project Summary：CNOOC and Shell Petrochemical Company Limited (hereinafter referred to as “CSPC”) intends to build CSPC Huizhou Phase 3Ethylene Project in Daya Bay Petrochemical Industrial Park, Huizhou, Guangdong Province to realize the vision of creating a world-class and highly integrated petrochemical base.

（1）資格要求
Requirements for Qualification of Bidder
A．如果投標人為境內(nèi)注冊公司，投標人需提供合法有效的企業(yè)法人營業(yè)執(zhí)照、稅務登記證及組織機構代碼證或證照合一的營業(yè)執(zhí)照，投標時需提供原件掃描件（原件備查）；
如果投標人為境外注冊公司，需提供有效的公司登記注冊證明；

The bidder within the customs territory shall provide valid independent legal person business license, tax registration certificate, organization code certificate, or combinedcertificate and business license. The scanned copy of the original shall be provided during bidding (the original copy for reference) ;
The bidder outside the customs territory shall provide valid certificate to prove valid business registration certificate.
B.投標人應為本次投標所投產(chǎn)品的制造商或者授權代理商。如果投標人是代理商，則須提供制造商有效授權書；如投標人為制造商同一集團負責銷售投標所投產(chǎn)品的全資子公司、控股子公司（投標人應提供制造商或其上級公司證明上述事項的證明文件），則視投標人為制造商。不能再將此貨物同時授權給其他投標人參與投標，否則相關的所有投標將被拒絕。
The bidder shall be the manufacturer or agent of the biddingproducts.If the bidder is an agent, a valid Letter of Authority from Manufacturershall be provided.If the bidder is a wholly-owned subsidiary or holdingsubsidiary of the same group as the manufacturer responsible for sales ofthe bidding products, the bidder shall provide relevant evidence documents fromthe manufacturer or its superior company to prove the above matters, and in such case the bidder shall be deemed as the manufacturer. The biddinggoods cannot be authorized to other bidders to participate in this bidding at the same time, otherwise all relatedbids will be rejected.

（2） 資質(zhì)要求Qualification requirement:
A. 特種設備證書：管道式超聲波流量計到貨時應隨貨提供《特種設備監(jiān)督檢驗證書（壓力管道元件制造）》。對國內(nèi)制造的流量計（殼體），投標文件中應提供《中華人民共和國特種設備生產(chǎn)許可證》（壓力管道元件），許可范圍應包括流量計（殼體）。
A.Special Equipment Certificate：For in-line ultrasonic flowmeters, a Supervision and Inspection Certificate for Special Equipment (Manufacture of Pressure Piping Components) shall be provided together with the goods upon delivery.For flowmeters (Shell) manufactured domestically, the bidding documents shall include the Manufacture License of Special Equipment of the People’s Republic of China (Pressure Piping Components), and the licensed scope shall cover the flowmeter (Shell）.
B. 防爆證書：投標人必須提供產(chǎn)品制造商的防爆電子式儀表的國家授權防爆認證機構頒發(fā)的《產(chǎn)品防爆合格證》
B.Explosion-Proof Certificate: The Bidder must provide the Product Explosion-Proof Certificate of Conformity for the manufacturer’s explosion-proof electronic instruments, issued by a nationally authorized explosion-proof certification body.
C. 其他證書：投標人應取得并提供《中華人民共和國計量器具型式批準證書》。
Other certificate:The Bidder shall obtain and provide the Type Approval Certificate for Measuring Instruments of the People’s Republic of China.
（3）業(yè)績要求Requirement for Bidder's reference:
****年1月1日至投標截止日(以合同簽署時間為準)，投標人至少具有2個應用于
乙烯裂解裝置 或
苯乙烯-環(huán)氧丙烷(SMPO)裝置 或
聚醚多元醇(DMC-POD)裝置 或
裂解汽油加氫裝置
單個合同供貨數(shù)量不少于4臺的超聲波流量計合同業(yè)績。
上述業(yè)績合同中有一個滿足包含至少1臺公稱通徑不低于DN****技術條件的液體插入式超聲波流量計。
This project does not accept bids from agents (resellers).
From January 1, **** to the bid submission deadline (determined based on the contract signing date), the bidder shall have at least two contract performance records?for ultrasonic flowmeters applied in one or more of the following units:Ethylene cracking unit，orStyrene Monomer–Propylene Oxide (SMPO) unit，orPolyether polyol (DMC-POD) unit，orPyrolysis gasoline (Pygas) hydrotreating unit.
For each such contract, the supplied quantity shall be no fewer than 4 ultrasonic flowmeters.
Among the above performance contracts, at least one shall include a liquid insertion-type ultrasonic flowmeter with a nominal diameter not less than DN**** that meets the technical requirements.
同一集團全球范圍內(nèi)不同制造商（即同一集團旗下的全資子公司或控股子公司或制造工廠）制造的超聲波流量計的業(yè)績，視為投標人所投超聲波流量計的制造商的業(yè)績；投標人應提供說明函，說明本次所投超聲波流量計的制造商與滿足上述業(yè)績要求的產(chǎn)品制造商屬于同一集團。
The performance of the Ultrasonic flowmetersubmitted by different manufacturers within the same group (i.e., wholly-owned subsidiaries, holding subsidiaries or manufacturing plants under the same group) is regarded as the performance of the manufacturer of Ultrasonic flowmetersubmitted by the bidder; the bidder should provide an explanatory letter to state that the manufacturer of theUltrasonic flowmetersubmitted in this bid and the manufacturer of the Ultrasonic flowmetermeeting the above performance requirements belong to the same group.
投標人須按規(guī)定格式提交業(yè)績表，并提交相關業(yè)績證明文件。業(yè)績證明文件包括：1）銷售合同和2）用戶簽字或蓋章的到貨驗收材料（到貨驗收單或調(diào)試驗收報告或其他可以證明合同項下貨物已經(jīng)到貨驗收的有效證明材料）。投標人所提交的業(yè)績證明文件必須至少體現(xiàn)以下內(nèi)容：合同簽署時間、合同簽署頁（國內(nèi)貿(mào)易合同應有雙方蓋章，國際貿(mào)易合同應有雙方簽字或蓋章）、制造商名稱、裝置名稱、貨物名稱、供貨數(shù)量。
若業(yè)績合同為年度協(xié)議，除提供年度協(xié)議外，還應提供相應的已到貨訂單，訂單內(nèi)容或編號應與年度協(xié)議相關聯(lián)。同一個年度協(xié)議下提供1個或以上的訂單及與訂單對應的到貨驗收材料均算為1個有效業(yè)績。
The bidder shall submit the performance record form in the prescribed format along with relevant supporting documents, which must include:sales contractsanddelivery acceptance materials signed or sealed by the end-user (such as delivery acceptance forms, commissioning acceptance reports, or other valid documentation proving goods acceptance under the contract);all submitted proof documents must contain at minimum:the contract signing date, executed signature pages (with both parties' official seals for domestic contracts, or signatures/seals for international contracts), manufacturer's name, plant/installation name, description of supplied goods, and supplied quantity.
If the performance contract is an annual agreement, in addition to providing the annual agreement, corresponding received orders should also be provided, and the order content or number should be associated with the annual agreement. Providing one or more orders and corresponding acceptance evidence under the same annual agreement is considered as one valid performance.
未提交業(yè)績證明文件，或通過所提供的業(yè)績證明文件無法認定滿足上述業(yè)績要求的，均視為無效業(yè)績。
If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.
如果投標人是代理商,****年1月1日至投標截止時間（以合同簽署時間為準），投標人應具有至少1個合同與本次投標同類產(chǎn)品的銷售業(yè)績，并提供相關業(yè)績證明文件。業(yè)績證明文件包括但不限于銷售合同復印件，至少體現(xiàn)以下內(nèi)容：合同簽署時間、合同簽署頁（國內(nèi)貿(mào)易合同應有雙方蓋章，國際貿(mào)易合同應有雙方簽字或蓋章）、貨物名稱。未提交業(yè)績證明文件，或通過所提供的業(yè)績證明文件無法認定滿足上述業(yè)績要求的，均視為無效業(yè)績。
If the bidder is an agent, the biddershallhave at least one sales contractperformance of similarvalvein this biddingfrom January 1st, **** to the deadline for submission of the bid (subject to the signing time of the contract), and provide corresponding documentaryevidence. The salesperformance documentary evidenceincludesbut not limited to a copy of the sales contract, which should at least reflect the following contents: the date of contract signing, the contract signing page (domestic trade contracts should have signatures?and?seals from both parties, international trade contracts should have signatures or seals from both parties), and the name of the goods.?If no documentary evidence furnished, or documentary evidence furnished can not demonstrate the above performance requirements, the relevant reference will be deemed invalid.

Before bidding, the bidder should complete registration and information verification at https://www.ebnew.com or https://www.chinabidding.com .The bid evaluation results will be published on the website(http://www.chinabidding.com) and China National Offshore Oil Corporation Procurement Platform (https://buy.cnooc.com.cn) .
**. 提示Notes
投標人進入開標大廳后，需要進行簽到操作，等待開標主持人指令。允許解密后，投標人點擊解密按鈕進行解密投標文件（需解密前在電腦上插入當前賬號綁定的CA），輸入正確的CA密碼。（請注意：如投標人未在投標截止時間/開標時間前進行簽到，原則上將無法進行解密，將被視為撤回其投標文件。）
The bidder need to sign in and wait for instruction issued by the host after entering the the virtual bid opening hall online. After the decryption is allowed,the bidder click the decryption button to decrypt the bid document(insert the CA bound to the current account on the computer before decryption) and enter the correct CA password.(PS:The bidder will not be able to decrypt in principle and be considered to withdraw the bid documents if fails to sign in before the deadline for the submission of bids or the date of bid opening.)
投標文件解密時限為**分鐘。投標人未在上述解密時限內(nèi)完成解密視為解密失敗，根據(jù)？電子招標投標辦法？的規(guī)定，視為投標人撤回投標文件。
The decryption time limit of the bid documents is ** minutes.It's deemed to fail to decrypt when the bidder fails to decrypt within the given time. Under the circumstances, it's deemed that the bidder withdraw the bid documents according to the regulation of Electronic Tendering and Bidding Methods.
投標人對開標有異議的，應當在開標現(xiàn)場提出，招標人當場做出答復，并制作記錄。未在線上開標現(xiàn)場提出的開標異議，不予受理。
Any objection to the bid opening raised by the bidder shall be raised at the bid opening site and the tenderee shall answer on the spot and make a record. It’s not accepted that the bidder has not raised objections at the bid opening site online.
